Invoice Terms and Conditions

Payment Due Date: Payment for the services provided is due within 7 days from the date of the invoice.


Late Payment: In the event of late payment, "Smart Electrical & Solar Pty Ltd" reserves the right to charge late payment fees as specified in the invoice or in accordance with applicable regulations.


Accepted Payment Methods: Details for making payments are provided on the invoice.


Variations: Any additional work or services not originally outlined in the quote but requested by the client will be considered variations and may result in additional charges. Variations will be documented and subject to client approval before work commences.


Currency: All invoices are denominated in Australian Dollars (AUD), unless otherwise agreed upon.


  • Disputed Charges: If the client disputes any charges on the invoice, they are required to notify "Smart. CoGroup" in writing within 7 days of receiving the invoice. Both parties agree to work together in good faith to resolve any disputed charges.
  • Ownership of Work: Ownership of any completed work or materials will only be transferred to the client upon full payment of the invoice amount.
  • Late Payment Interest: In case of overdue payments, "Smart Electrical & Solar Pty Ltd" reserves the right to charge interest at a rate of 10% per annum
  • Collection Costs: The client agrees to bear any costs incurred by "Smart Electrical & Solar Pty Ltd" for the collection of overdue payments, including but not limited to legal fees and collection agency costs.
  • Cancellation and Refunds: Once services have commenced, any cancellation requests by the client may be subject to fees or charges for work already performed. Refunds are subject to the policies outlined in the quote and terms and conditions.
  • Limitation of Liability: "Smart Electrical & Solar Pty Ltd" will not be held liable for any direct, indirect, consequential, or incidental damages arising from the services provided or any delay in payment.
  • Confidentiality: Both parties agree to keep any confidential information shared during the course of the project confidential and not to disclose it to third parties.
  • Governing Law: These invoice terms and conditions shall be governed by and interpreted in accordance with the laws of the jurisdiction where the project was conducted.

Quote

Quote Terms and Conditions

Validity of Quote: This quote is valid for a period of 30 days from the date of issuance.

  • Scope of Work: All items and services listed in the quote are considered to be in scope. Any items not explicitly listed in this quote are considered out of scope and may be subject to additional charges as variations.
  • Acceptance: By accepting this quote, the client agrees to the terms and conditions outlined herein.
  • Payment Terms: Payment for the services outlined in this quote is due in accordance with the payment schedule specified in the quote.
  • Variations: Any changes or additions to the scope of work outlined in this quote will be considered variations. Variations may incur additional charges and may impact the project timeline.
  • Cancellation: Should the client wish to cancel or postpone the project after accepting this quote, any costs incurred up to that point will be the responsibility of the client.
  • Warranties: All services provided by "Smart Electrical & Solar Pty Ltd" are covered by the warranties as specified in the quote. Warranties are subject to the terms and conditions set forth in the warranty documentation provided.
  • Liability: "Smart Electrical & Solar Pty Ltd" will not be held liable for any damages, losses, or costs resulting from circumstances beyond their control, including but not limited to acts of nature, third-party actions, or unforeseen project complications.
  • Completion Date: The estimated completion date provided in the quote is based on current project conditions and assumptions. Delays due to factors beyond the contractor's control may result in an adjusted completion date.
  • Client Responsibilities: The client is responsible for providing necessary access to the project site, ensuring a safe working environment, and complying with any permit or regulatory requirements.
  • Intellectual Property: All intellectual property related to the services provided, including designs and plans, shall remain the property of "Smart Electrical & Solar Pty Ltd."
  • Dispute Resolution: In the event of a dispute, both parties agree to engage in good faith negotiations to resolve the issue. If a resolution cannot be reached, the matter may be escalated to formal legal proceedings.
  • Governing Law: These terms and conditions shall be governed by and interpreted in accordance with the laws of the jurisdiction where the project is taking place.

Work Order

Work Order Terms and Conditions

Scope of Work: This work order outlines the specific services to be performed by "Smart. CoGroup" (referred to as "Contractor"). Any changes or additions to the scope of work must be agreed upon in writing by both parties.


  • Acceptance: By accepting this work order, the client acknowledges their agreement to the terms and conditions outlined herein.
  • Payment Terms: Payment for the services outlined in this work order is subject to the payment schedule specified in the work order.
  • Variations: Any modifications, changes, or additional work requested by the client that falls outside the original scope of work will be considered variations. Variations may result in adjusted costs and timelines.
  • Cancellation: Should the client wish to cancel or postpone the project after accepting this work order, any costs incurred up to that point will be the responsibility of the client.
  • Warranties: The services provided by "Smart. CoGroup" are covered by the warranties as specified in the work order. Warranties are subject to the terms and conditions set forth in the warranty documentation provided.
